Terms of commissioning
These terms apply when you ask System Craftbase to write a merchandising review, conversion pack, listing audit, seasonal briefing, or trading pack.
Acceptance
A contract forms when we send a fee note and you accept it in writing (email is enough). Sending files before acceptance does not oblige us to begin. If you use the website without commissioning work, these terms still govern your use of the pages, notices, and forms.
The work
We deliver written briefings and charts based on files and URLs you supply. We do not operate your catalogue, take payment from your customers, or guarantee a conversion figure. Recommendations are professional opinion for merchandising decisions you remain free to reject.
Your files
You warrant that you have the right to send us trading exports and that they do not contain cardholder data or unnecessary customer names. You remain responsible for the accuracy of assortment files. Delay in sending files extends the timetable by the same number of working days.
Intellectual property
You keep ownership of your assortment files, photographs, and listing copy. We keep ownership of our methods, chart templates, and unused drafts. On full payment, you receive a licence to use the delivered briefing inside your business, including printing for meetings. You may not resell the briefing or publish it as a public report without our written consent. Sample briefings on this site are anonymised illustrations, not your confidential work.
Confidentiality
We will not name your shop in marketing without permission. We may describe a category in general terms years later, as on the sample briefings page, without identifying figures that would reveal you.
Liability
We are not liable for lost orders, markdown decisions, or photography costs. Our liability for a given engagement is limited to the fees paid for that engagement, except where the law of the United Kingdom does not allow a limit (including death or personal injury caused by negligence, and fraud). We are not liable for delays caused by incomplete exports, third-party hosting of your shop, or events outside reasonable control.
Website
Pages, fees, and sample packs are informational. We may correct errors. The enquiry form is a request, not an acceptance of work.
Governing law
These terms are governed by the law of the United Kingdom. Courts of England and Wales have jurisdiction, except that consumers resident in Scotland or Northern Ireland may also bring proceedings in their home courts where the law allows.
